Public Offer Agreement

1. General

This document is a public offer (the “Offer”) by the Seller addressed to any legally capable individual (the “Buyer”) to conclude a software license agreement granting a right to use software on the non-exclusive license terms below. Acceptance of the Offer (full and unconditional) is the payment of an order on the Site. Upon acceptance the contract is deemed concluded.

The Offer is valid indefinitely until withdrawn by the Seller. The Seller may amend the Offer; the new version is published on the Site with the date of update. The version in force at the moment of payment applies to the order; the price is fixed at the moment the order is placed.

2. Definitions

  • Seller — Sole Proprietor (FOP) Vladyslav Chubatiuk, Tax ID 3168723133, 10/271 M. Lushpy Ave., Sumy, Ukraine, acting under the laws of Ukraine.
  • Buyer — the person who placed and paid for an order.
  • Product — a non-exclusive, time-limited license to use a software indicator or robot (the “Software”) within the ATAS platform.
  • Development service — development of indicators, testers and robots to the Customer’s specification (section 10).
  • Site — indicators.alg0.trade.

3. Subject

The Seller grants the Buyer a non-exclusive, non-transferable, time-limited license to use the Software within the ATAS platform for the paid term. The Software is a market-analysis tool. The Seller does not provide asset-management services or individual investment advice and does not guarantee profit.

Compatibility and functionality. The Software works only within the ATAS platform (Windows, current platform version); an ATAS platform subscription is purchased by the Buyer separately and is not part of the Product. The license is technically bound to the Buyer’s ATAS login; to activate it, the Buyer provides their ATAS login. Transfer to another login — via support.

4. Ordering and payment

The Buyer builds an order in the cart, enters an e-mail for access delivery and pays by Visa/Mastercard bank card (via the monobank internet-acquiring service) or via PayPal.

Prices on the Site are stated in US dollars (USD) for reference. When paying by bank card, the invoice is issued in Ukrainian hryvnia (UAH); the final UAH amount is shown to the Buyer before payment confirmation. The conversion rate is determined at the moment the order is placed.

After payment is confirmed, access is granted manually within the day; the license term starts from the next day. The Seller sends an order confirmation (items, amount, license term) to the specified e-mail. The Buyer sends payment confirmation on Telegram (@trading_algorithms_bot) with their e-mail.

5. Term and renewal

Available terms: trial (3 days), 3 months, 1 year. Renewal is performed manually upon the Buyer’s request before expiry. No automatic charges are made.

6. Rights and obligations

The license is granted personally to the Buyer and may not be transferred, resold, publicly distributed or provided to third parties. Decompilation, modification and circumvention of the Software’s protection are prohibited. The Seller undertakes to provide access within the agreed time and to offer support via the stated channels.

Support and operability. During the paid term the Seller maintains compatibility of the Software with current ATAS versions and responds to requests within 2 business days. If the Software becomes inoperable for reasons within the Seller’s control and is not restored within 14 days after the request, the Buyer is entitled to a refund pro rata to the unused license term. The Seller is not responsible for the discontinuation or modification of the ATAS platform by its rightholder; in that case compensation for the unused term is agreed by the parties.

7. Refunds

Refund terms are set out in the Refund Policy. The Product is digital; as a general rule no refund is made after access has been granted, except in the cases provided for by the Refund Policy and mandatory provisions of applicable law.

8. Liability and risk

Trading in financial markets involves a high risk of capital loss. The Software does not guarantee profit; past results do not guarantee future results. The Seller is not liable for the Buyer’s trading decisions or their financial consequences. The Seller’s liability is limited to the amount of the paid order.

This limitation does not apply to liability for the Seller’s intent or gross negligence, or in other cases where the exclusion or limitation of liability is not permitted by applicable law. The invalidity of any individual provision of the Offer does not affect the validity of its remaining provisions.

9. Personal data

Personal data is processed in accordance with the Privacy Policy.

10. Custom software development

The Seller develops indicators, signal testers and trading robots to order. Orders are placed on the Custom development page (spec builder) or via Telegram.

  • Estimate and prepayment. After the initial time-and-cost estimate the Customer pays a 50–100 $ prepayment. If development is confirmed, the prepayment is credited to the total cost.
  • Specification. Drafting a detailed spec from the Customer’s idea is covered by a 50 $ prepayment; the prepared document stays with the Customer regardless of their further decision. If the Customer declines development after the spec is agreed, the prepayment is not refunded — it compensates the work performed. For EU consumers: by ordering the spec drafting the Customer expressly requests that the service begin before the expiry of the 14-day withdrawal period; upon withdrawal before full performance an amount proportionate to the work actually performed is retained; a prepared and delivered spec constitutes full performance of this stage.
  • Price. The agreed price may be changed up or down by additional agreement of the parties.
  • Delivery and code rights. Before the final payment the Customer receives video/photo proof of the working version; until full payment all rights to the development results (including interim versions and demo materials) remain with the Seller, and if the order is terminated before full payment no rights pass to the Customer. Once the Customer has paid 100% of the agreed cost, the exclusive economic rights to the code developed specifically to the Customer’s spec pass to the Customer; the deliverables are the DLL file and an archive with the source code of the current version. The Seller’s pre-existing materials (libraries, shared components and tools — “background components”) remain the Seller’s property; the Customer receives a non-exclusive perpetual license to them as part of the delivered Software. The Seller may use background components, as well as general knowledge and techniques, in other projects.
  • Confidentiality. The parties shall not disclose to third parties the spec, the Customer’s trading idea/logic or the terms of the specific order. The Seller does not use the Customer’s unique trading logic in products for third parties and does not offer an indicator developed to an individual spec for public sale without the Customer’s written consent.
  • Fixes. Bugs within the approved spec are fixed free of charge; functionality beyond the spec is estimated and paid separately.

Governing law: Ukraine. This choice of law does not deprive a consumer of the protection afforded by mandatory provisions of the law of the country of their habitual residence (for EU consumers — Art. 6(2) of the Rome I Regulation).

Prices include all taxes and duties; the Seller is a payer of the unified tax (group 3) and is not a VAT payer. There are no additional delivery costs (digital goods).
